Saifi Design: Dealership Terms and Conditions for Lighting Products in India

1. Introduction: These terms and conditions (“Terms”) govern the dealership relationship between Saifi Design (“Company”) and the authorized dealer (“Dealer”) for the sale and distribution of lighting products in India.

2. Appointment: The Company hereby appoints the Dealer, and the Dealer accepts such appointment, to act as a non-exclusive dealer of the Company’s lighting products in the territory of India.

3. Product Supply: The Company shall supply the Dealer with lighting products in accordance with the terms and conditions set forth herein and as per the agreed pricing and delivery schedule.

4. Pricing: The pricing of the lighting products shall be as mutually agreed upon by both parties. The Company reserves the right to modify the pricing structure upon providing the Dealer with a 30-day written notice.

5. Orders and Delivery:

  • The Dealer shall place orders for lighting products in writing.
  • The Company shall deliver the products within the agreed timelines.
  • The Dealer shall be responsible for all shipping and handling costs unless otherwise specified.

6. Payment Terms:

  • All invoices shall be due and payable within 30 days from the date of the invoice.
  • Late payments may be subject to interest at the rate of [X%] per annum.

7. Marketing and Promotion: The Dealer shall actively promote and market the Company’s lighting products in India. The Company may provide marketing materials and support as deemed necessary.

8. Warranty and Support: The Company shall provide the Dealer with warranty and technical support for the lighting products as per the Company’s standard warranty terms.

9. Termination: Either party may terminate this dealership relationship with a 30-day written notice if the other party breaches any of the terms herein.

10. Confidentiality: Both parties shall maintain the confidentiality of all proprietary information shared during the course of this dealership relationship.

11. Governing Law and Dispute Resolution: These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be resolved through amicable negotiations. If unresolved, the parties agree to submit to the exclusive jurisdiction of the courts in [City, India].

12. Amendments: These Terms may only be amended in writing and signed by both parties.

13. Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior discussions, agreements, and understandings of any kind, whether oral or written, between the parties.
